Senior Legal Counsel - VR/27660
TMM have been exclusively engaged by a global energy service business to appoint a Senior Legal Counsel. You will be a commercial lawyer, ideally with significant in-house Energy experience, albeit consideration may be given to someone looking to make their first move in to industry. The successful candidate will have demonstrable experience negotiating and reviewing complex commercial agreements and advising on risk. Proven commercial acumen in a multinational setting is pivotal to this role and you will have the ability to credibly engage with stakeholders at all levels. This represents a highly visible and stimulating role and a fantastic opportunity for personal growth.
Main duties and responsibilities
- Maintaining and controlling all existing contractual documentation.
- Preparing, reviewing, evaluating, negotiating and advising on a range of contractual documentation, such as customer and supplier contracts/terms and conditions, confidentiality agreements, cooperation agreements, representation agreements to identify and mitigate risks contained therein.
- Assist on corporate transactions and M&A.
- Keeping senior and exec management appraised of any potential business risk issues.
- Interacting with and supports other functions and departments within the region and at a corporate level.
- Providing guidance and assistance to ensure all operations and business activities are carried out in compliance with local laws.
- Responsible for all legal issues in the region, including management of customer debt, disputes, litigation, and personal injury claims.
- Managing outside counsel and control legal fees, costs and expenses.
- Assisting and advising on the establishment and liquidation of entities in foreign jurisdictions.
- Assisting General Counsel for with complex legal issues.
- Renewal and management of insurance requirements.
- Coordinating corporate documents.
- Legal research.
- Assisting with compliance (e.g. trade sanctions, anti-corruption, modern slavery, tax evasion, GDPR) training and policy preparation and management.
- Managing and supervising junior level counsel.
